7 Steps to Start

There are 7 steps that must be taken when forming an LLC in the state of Iowa: 

Step One
Choose a name for your LLC

This should be done before filing any paperwork with the state. The name must include “LLC” or “Limited Liability Company” and cannot be confused with another existing business entity. You can check the availability of names by searching through the Secretary of State Business Name Database. 

Step Two
File Articles of Organization 

This document is filed with the Secretary of State. You can do this online, by mail, or by fax. There is a $50 filing fee associated with this paperwork that must be paid at the time of submission. It is important to note that these forms must be notarized before being sent to the Secretary of State. 

Step Three
Create an Operating Agreement

This document outlines ownership rights and responsibilities as well as how your company will operate internally. It does not need to be filed with the state but it should still be kept on record and made available to all members/owners if needed. 

Step Four
Obtain Your EIN Number

An Employer Identification Number (EIN) is required for all businesses seeking liability protection under their limited liability status. This number can easily be obtained via the IRS website and takes only minutes to complete.  

Step Five
Register With The Department Of Revenue

All businesses that collect taxes must register with the Department of Revenue and obtain a Sales Tax Permit if applicable.  

Step Six
Comply With Local Regulations

Depending on your location, there may also be local regulations that you need to comply with such as obtaining zoning permits or registering for occupational licenses from your city or county government offices.  

Step Seven
Maintain Your Records

Once you have officially formed your LLC, it’s important to maintain accurate records including minutes from meetings, monthly financial statements, copies of tax returns and other documents related to operating your business entity legally and efficiently over time.
